关联方交易及其信息披露存在的问题与对策

摘  要

关联方交易能不能代表企业在正常条件下的生产经营能力和创利水平以及关联方交易对企业的财务状况和经营成果所产生的实际影响，是信息使用者十分关心和敏感的问题。本课题主要研究我国上市公司关联方交易的问题，以规范研究为主，并结合实证研究以及实地研究，利用归纳、比较分析和分析与综合相结合的研究方法，从关联方的认定、关联交易信息失真的主要表现和手段以及关联方交易的披露入手，分析我国关联方交易及其信息披露的现状及存在的具体问题。文章末尾对我国上市公司关联交易的规范和完善进行了探讨，并从完善准则的规定、规范中介和监督机构和健全法规等方面提出了改善关联方关系及其信息披露的若干建议。

Abstract
   
It has become a sensitive problem that whether or not the accounting information for related trades can precisely reflect enterprises’ actual operation results and financial statements. The author’s main topic is to research related trades in listed companies in China. The research methods are based on standardize research, combined with empirical research and field studies. In this article, the research begins with the definition of related trades; it studies the main performances of information distortion and the main means to whitewash accounting statements. The article also gives a detailed analysis about China’s specific situation of related trades. In the end, the author gives several possible solutions to improve the situations of related trades, such as improving accounting standards, regulating the intermediary and oversight bodies, and improving laws and regulations.
